Working proposal • No participant commitments assumed

A smaller showroom. A shared operating base.

One business platform.
Two complementary locations.

Organize our divisions around a curated Miami Circle presence and a proposed Oakcliff operating base: Savvy Staged, Buckhead Wallpaper, Ghenogas Gallery, Design & Sourcing, and Receiving & Delivery. Scott Market becomes a shared monthly sales channel.

This is an invitation to shape the business together. The goal is to share useful infrastructure, generate profitable projects and give each participant a clear role and a measurable return.

The revised footprint

Keep the selling presence.
Reconsider where the work happens.

01 • Miami Circle

The client-facing studio

A negotiated partial footprint for appointments, lighting and art displays, sample selection and a small number of staged room settings. Spencer can lead design appointments; Mr. Wallpaper can support BW selections; Roe can present staging packages, with Ghenogas lighting and art.

A smaller allocation is a negotiating objective. Neither a reduced rent nor permission to divide the existing space is confirmed.

02 • Oakcliff

The proposed logistics base

Assess leasing 3225–3229 Oakcliff Industrial Street to centralize receiving, inspection, storage, staging inventory, picking, dispatch and returns for participating operations.

A broker listing advertises 9,450 SF at $9/SF/year NNN. Availability, additional charges, condition, usable capacity and operating permissions require verification. No tenancy or logistics service is secured.

03 • Scott Market

The monthly introduction

A focused selection of lighting, art and eligible merchandise creates direct sales and invites buyers into showroom appointments and larger projects.

Treat each show as its own event account. Confirm merchandise acceptance, staffing, booth availability and transport before booking.

Our division structure • proposed operating model

Five divisions.
One coordinated customer experience.

These divisions describe the business we are proposing to organize. Named outside businesses and individuals remain prospective participants; listing a role does not imply employment, ownership or an accepted partnership.

01 • Savvy Staged

Staging & lease-ups

Listing staging, model units, furnished-room packages, styling, inventory rotations and removal.

Miami Circle: room/package presentation and client consultations.
Oakcliff: storage, preparation, packing, returns and inventory coordination.

Proposed participant: Roe Refined Rooms for agreed styling and staging scopes.

02 • Buckhead Wallpaper

Wallcoverings & finishes

Selections, samples, measuring/estimating coordination, ordering and accepted installation scopes. Window treatments can be added through qualified providers.

Miami Circle: sample selection and design appointments.
Oakcliff: order administration, project staging and installer coordination.

Proposed participant: Mr. Wallpaper for defined technical and field responsibilities.

03 • Ghenogas Gallery

Lighting & art

Sculptural lighting, art and selected merchandise for direct sales, design projects and agreed staging placements.

Miami Circle: curated displays and specification.
Oakcliff: receiving, inspection, protected storage and dispatch preparation.

Contribution: identified merchandise, product knowledge and gallery relationships.

04 • Design & Sourcing

Room-to-project design

Consultation, specification, supplier sourcing and purchasing oversight across the divisions.

Miami Circle: client-facing design studio.
Oakcliff: purchasing handoff, project labeling and fulfillment coordination.

Proposed participant: Spencer; sourcing access, commercial terms and responsibility require agreement.

05 • Receiving & Delivery

The shared service backend

Proposed receiving, storage, handling, dispatch, delivery and staging return services for the divisions and accepted outside customers.

Miami Circle: delivery planning at the point of sale.
Oakcliff: physical operating base, subject to staffing, insurance and equipment.

Potential participation: Rick’s introductions and an operating proposal from Boxer Delivery or another accepted operator.

Shared channel & platform

Scott + MiamiCircle.co

Scott Market showcases participating merchandise and introduces clients to the divisions. MiamiCircle.co and Savvy Staged carry discovery into selections, inquiries and coordinated projects.

Oakcliff: market merchandise preparation and transport coordination.
Jay / Stone Madison: digital tools, intake, project administration and reporting.

These support all divisions; they are not additional independent capital contributors.

Prospective people and operating partners

People aligned
to the divisions.

This is a role map for discussion. Named participants are prospective collaborators; no appointment, investment, supplier access, AmericasMart affiliation or service commitment is assumed. Each person can accept a narrower role than shown.

Design & sourcing

Spencer

Proposed lead for client design, room specifications and supplier sourcing. Help turn showroom appointments into priced, approved projects.

Potential contribution: design time, client relationships, confirmed supplier access and purchasing oversight.

Earns through: scoped design/procurement fees and agreed contribution on projects originated or executed.

Buckhead Wallpaper

Mr. Wallpaper

Proposed BW specialist for samples, wallcovering specifications, estimating, site coordination and accepted installation scopes.

Potential contribution: technical knowledge, estimating capacity and an accountable installation/referral pathway.

Earns through: agreed product participation and separately quoted technical or installation services.

Savvy Staged & Scott

Roe Refined Rooms

Invite Roshelle to shape the staging and styling program, room packages and Scott Market presentation while retaining her own business identity.

Potential contribution: consultations, styling, package preparation, installations and market presentation according to an agreed scope.

Earns through: paid styling/staging work and agreed participation in attributed package or market sales.

Operator & channel development

Rick / AmericasMart

Explore Rick’s participation in developing showroom, dealer and operator relationships, including a possible introduction to Boxer Delivery.

Potential contribution: introductions, customer development and logistics relationships, subject to confirming Rick’s role and authority.

Earns through: defined business-development work or disclosed, agreed compensation on qualifying business. AmericasMart is not represented as a venture participant.

Proposed logistics partner

Boxer Delivery

Explore an operating relationship for receiving, handling and delivery associated with Oakcliff and Miami Circle. Services, territory, insurance, labor and rates must be accepted by the operator.

Potential contribution: a scoped logistics service or operating proposal; no fleet, team or warehouse commitment assumed.

Earns through: quoted service charges or a separately negotiated operating agreement.

Visit Boxer Delivery ↗
Gallery & operating platform

Ghenogas + Jay

Ghenogas supplies lighting/art expertise and identified merchandise. Jay maintains MiamiCircle.co, Savvy Staged and BW’s digital tools, intake and project reporting.

Potential contribution: merchandising, lookbooks, visualization, digital operations and project administration.

Earns through: merchandise contribution for its owner; a scoped operating fee and agreed project participation for Jay.

The operating distinction: Spencer leads proposed design/sourcing; Roe leads agreed staging/styling; Mr. Wallpaper supports BW; Rick helps develop relationships; an accepted logistics operator handles physical execution. Jay coordinates the digital and administrative platform. Name one accountable sales owner and one dispatch/warehouse owner before launch.

Illustrative economics • editable assumptions

Price the smaller model
before dividing the obligations.

The earlier full-space occupancy estimate was $22,000–$25,000 a month, inferred from Henry’s overhead and potentially affected by a rent concession. A partial footprint does not automatically reduce the underlying lease obligation. The figures below are planning placeholders—not property quotes, lease terms or forecasts.

Default: $7,088 advertised monthly base rent plus a $2,000 placeholder for NNN, utilities, insurance and maintenance. The additional $2,000 is not a quote. Deposits, fit-out and equipment are separate.

Monthly cash operating hurdleSales-equivalent break-even

Arithmetic sensitivity only. Margin is after direct product/project costs and variable expenses. Avoid counting shared payroll or logistics charges twice.

Default assumptions total $38,588/month, compared with the earlier $44,000 full-footprint planning case. The $5,412 difference is an arithmetic comparison between unverified budgets—not demonstrated savings. Oakcliff deposits, fit-out, opening inventory, working capital and contingencies are not included.

For leased staging inventory, contribution must include recovery of inventory capital, financing, cleaning, damage and replacement. Furniture purchases and later rental receipts must not be treated as cost-free income.

Division funding • shared platform

What each business funds.
What the platform must earn.

Start with shared services and identifiable inventory ownership. These proposed allocations are negotiating inputs, not participant commitments. They can be changed without assigning equity.

BusinessProposed allocation693 + OakcliffStaff, digital & common servicesScottTotal monthly commitment

Illustrative allocation: Savvy Staged 35%, Ghenogas 30%, Spencer 25%, Buckhead Wallpaper 10%. These are business-program allocations, not personal bills to Spencer, Roe, Mr. Wallpaper or Rick. Applied across costs here solely to show funding requirements. Actual agreements should use measured space, storage and staffing use; Scott costs should follow participating exhibitors. Savvy Staged and Buckhead Wallpaper may share an owner: combined, they fund 45% in this scenario. Division names do not imply independent sources of capital. Receiving & Delivery is funded within the modeled facility/staffing costs; outside service earnings are not assumed in the scenarios.

A contribution commitment is a funding obligation—not evidence of sales. If a division cannot fund its minimum, a named sponsor must cover the gap. Jay’s operating fee is already included in the budget; it is not an additional profit distribution.

Monthly operating scenarios

Model contribution.
Then subtract the shared costs.

All figures below are assumed targets. Contribution means external customer revenue less product costs, direct project labor, freight, commissions, payment fees, returns and appropriate inventory recovery allowances, but before the shared operating budget. Internal charges between participating divisions are eliminated in the combined view.

Shared monthly cash operating costs
Monthly surplus / (shortfall)
Annualized operating sensitivity*

*Monthly result × 12; not an annual forecast. Excludes startup cash, taxes, financing outside the modeled facility cost and owner distributions. Scott contribution is incremental: a gallery or package order attributed to Scott is counted here or in its division, never both. Existing independent design fees are not assumed available to support this venture.

Low-case protection

Three-month reserve for the illustrated low-case operating shortfall. This is only one reserve test; slower collections or a zero-sales launch could require substantially more.

No-contribution runway

Three months of modeled operating costs if no customer contribution arrives. Add deposits, setup and inventory funding.

Break-even formula

Monthly operating cost ÷ realized contribution margin

Sales equivalents are a sensitivity tool. Rental packages, product orders and design fees have different cost structures.

Pay for defined contributions

Separate roles from
ownership and funding.

PositionProposed compensation mechanismMust define before agreement

Roe • Savvy/ScottPaid consultation/styling/install scope; agreed package or event participation.Time commitment, inventory ownership, Scott staffing and whether any fixed space is reserved.
Rick • relationshipsScoped business-development fee or agreed compensation for qualifying attributed business.Actual role, authority, deliverables and any employer/organization restrictions.
Boxer / accepted logistics operatorReceiving, storage, labor and delivery rate card; alternatively a separately priced operator agreement.Staffing, vehicles, equipment, insurance, claims, custody and service territory.
Jay • platform/operationsDefined monthly fee included in digital/program opex; additional accepted project work where applicable.Deliverables, capacity, sales handoff, reporting and brand/IP ownership.

No participant’s client list, proposed labor or introduction is booked as cash funding. The $12,000 payroll allowance must be replaced by a staffing plan and operator quotes. If Boxer invoices labor already included in this allowance, remove that duplication; separately budget any additional service costs.

Startup cash • separate from monthly opex

Secure the cash before
securing the obligations.

Sharing options

Choose how to collaborate
before choosing equity.

A • Start here

Shared services

Each business retains customers, inventory and earnings. Pay a fixed minimum for reserved showroom capacity and common services, plus actual logistics use.

Best for: a 90-day pilot with clear responsibilities and limited entanglement.

B • Earned participation

Minimum + project share

Smaller fixed commitments plus a defined share of contribution from jointly generated projects. Set caps, attribution and shortfall funding in advance.

Best for: participants who can document pipeline but prefer a variable component.

C • Build after proof

Joint operation

A jointly owned operating business contracts with the showroom and Oakcliff facility. Capital, guarantees, management fees and profit distributions are separately documented.

Best for: a proven team with verified economics and agreed decision rights.

Contribution principles

Space, service, capital and sales
should earn different payments.

Shared resourceProposed allocationGuardrail
Miami Circle footprintMeasured exclusive area plus weighted access to shared display/meeting space.Do not assume a 40/35/25 allocation before measuring the retained space.
Oakcliff facilityStorage by occupied capacity; receiving by shipment; handling by labor; delivery by accepted quote.Allocate reserved capacity to its beneficiary. Idle capacity needs a named funder.
Common staff and digital servicesAgreed minimum retainer plus documented project usage where appropriate.Jay’s operating fee is a scoped cost, not an assumed residual profit.
Scott MarketEvent overhead by pre-agreed booth/display use; direct merchandise costs to each seller.Record event sales and later attributed projects separately; count each order once.
Startup capitalDocument deposits, equipment and inventory cash, financing, ownership and any agreed return. No equity granted solely for proposed leads or unsigned participation.

For a joint sale: collect funds → pay product and direct execution costs → pay agreed design/management fees → distribute the remaining contribution. An optional negotiating example is 60% to the supplying/executing operation, 20% to the originating/closing party and 20% to the shared program. This is not a market benchmark or agreed rate. A party may perform multiple roles; the split must leave sustainable economics for each.

Internal rent and service payments fund the platform; they are expenses for the divisions. Consolidated reporting must eliminate those internal transfers so they are not counted as additional outside revenue.

The first decision

Validate two sites.
Commit to one pilot.

Identify the retained Miami Circle footprint and obtain written occupancy terms and permitted uses.
Inspect the Oakcliff lease opportunity and establish lease terms, NNN charges, deposits, fit-out, carrying cost, staffing and verified capacity.
Name the sales leader, inventory owner, logistics operator and cash-shortfall funder. Obtain signed minimum contributions.
Run 90 days: showroom appointments, a bounded lease-up/design pipeline and up to three approved Scott events.
Review paid-order contribution, delivery cost, inventory utilization, event results and cash burn before expanding.

Discussion sought: Which role would each participant take, what would they commit monthly, and which customer/project would they bring into the pilot?

Evidence & open items

This is a proposed collaboration, not an operating partnership or investment offer. Spencer, Mr. Wallpaper, Roe Refined Rooms, Rick, AmericasMart, Boxer Delivery and the Oakcliff landlord have not been represented as having accepted. Rick’s relationship to AmericasMart is unverified; no organizational endorsement is implied. No revenue forecast or property valuation is supplied.

Scott’s published Atlanta indoor booth rate is $220 for 8 × 10 feet; the modeled event budget includes additional assumed costs. Official booth pricing ↗ Confirm terms and availability directly.

Oakcliff source: Participant-supplied Crexi lease listing; broker listing with advertised rate and area. At 9,450 SF × $9/year ÷ 12, base rent is $7,087.50/month. The narrative lists 2,600 SF office/showroom plus 7,500 SF warehouse, totaling 10,100 SF, which conflicts with 9,450 SF. Confirm the measured split and dock access. No all-in lease quote is available.

Prepared October 22, 2026 from Jay’s direction and provisional prior operating assumptions. The live /system/ page is a concept reference; its partner, service and timeline claims are not underwriting evidence for this model.

*Scott event overhead is allocated to the four programs; its incremental contribution is added once. Scott sales must not also be counted in division contribution. Exact cents avoid rounding discrepancies. Roe, Mr. Wallpaper and Spencer are prospective role participants, not personally committed funders.

At an assumed 30% retained contribution margin, break-even sales-equivalent activity is $128,626.67/month ($1,543,520/year). Three-month low-case shortfall: $30,264. Three-month no-contribution operating runway: $115,764, before startup costs.

2. Lean launch hypothesis — $24,050/month fixed costs

Proposed inputs: partial 693 $8,000; hypothetical Oakcliff two-bay / 6,300-SF allocation $6,550 all-in; digital operations $4,000; marketing/admin $3,000; Scott $2,500. Remove the $12,000 fixed payroll allowance only if an accepted operator plan replaces the work. The existing listing does not establish that the unit can be divided or that $6,550 is an available all-in lease quote.

No automatic profitability claim: the fixed-cost reduction is $14,538/month, but per-project staging, installation and delivery charges can reduce retained contribution. The same low/base/high contribution cannot be reused unchanged unless those charges have already been deducted.

The supplied 85/15 wallpaper split, $500 co-funded rebate, Roe’s per-stage/buyout split and Boxer’s per-run charges are proposed terms only. Define the split basis, who funds the rebate, eligible transactions, direct costs and operator acceptance before using them as margin assumptions.

Low contribution: $28,500

Zero extra costs leaves $4,450 before excluded startup/financing/tax items. This is the low-case maximum cushion for new costs.

Base contribution: $51,000

Zero extra costs leaves $26,950. Enter only operator charges not already deducted from contribution.

High contribution: $78,000

Zero extra costs leaves $53,950. These remain sensitivity results, not expected earnings.

Lean result = scenario contribution − additional variable operator costs − $24,050. Zero in the inputs is a comparison baseline, not an estimate that operators work free. At zero additional costs the annualized results are $53,400 / $323,400 / $647,400; actual results fall by twelve times the monthly additional charges.

At a 30% margin after all variable charges, lean break-even is $80,166.67/month ($962,000/year), a $48,460/month sales-equivalent reduction from the full model. If the margin falls because of operator splits, recalculate: $24,050 ÷ revised retained margin. At 20%, the hurdle is $120,250/month. Three months of lean fixed costs alone is $72,150.

Confirm permitted partitioning, actual lease quotes, service labor and management coverage, transport charges, insurance and working capital before selecting a launch model. Owner-property carrying charges and internal service transfers must not be counted twice.
